Terms and Conditions Last Updated: November 1, 2025 Effective Date: November 1, 2025 These Terms and Conditions (“Terms”) govern the access to and use of LookAtlas (the “Platform”), operated and owned by NeuraReach, LLC, a Delaware limited liability company (“Company”, “we”, “our”, or “us”). By accessing or using the Platform, you (“User”, “you”) agree to be bound by these Terms. If you do not agree, do not access or use LookAtlas. 1. Overview of Services LookAtlas is an artificial intelligence (AI)–powered content generation platform that enables users to upload product and model imagery to generate realistic on-model product photos and videos (the “Services”). Users may access the Services through a subscription plan that allocates a defined number of tokens per billing period, which may be used to generate content on the Platform. 2. Eligibility You must be at least 18 years old and capable of entering into a legally binding contract under applicable law. By using LookAtlas, you represent and warrant that you meet these eligibility requirements. 3. Account Registration To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. We reserve the right to suspend or terminate your account if any information provided is false, misleading, or incomplete. 4. Subscription and Payments Access to LookAtlas is offered solely through paid subscription plans. Each plan provides a specific number of tokens or usage limits per billing period. All payments are processed securely through third-party payment providers. By subscribing, you authorize LookAtlas to charge your payment method on a recurring basis (monthly or annually, as selected). All fees are stated in U.S. dollars (USD) unless otherwise noted. Refunds are governed by our separate Refund Policy, available on our website. 5. Acceptable Use Policy You agree not to use the Platform or its outputs to: * Upload or process any content that infringes upon any copyright, trademark, privacy, or intellectual property rights. * Generate, share, or distribute any unlawful, obscene, pornographic, defamatory, hateful, or harmful content. * Attempt to reverse engineer, modify, or disrupt the Platform or its underlying technology. * Use the Platform to impersonate others, engage in fraud, or misrepresent your identity. Violation of this policy may result in immediate suspension or termination of your account and possible legal action. 6. User Content and Ownership By uploading or submitting any content (including images, videos, text, or other materials) to the Platform (“User Content”), you represent and warrant that: 7. You own or have all necessary rights, licenses, and permissions to use and upload such content. 8. Your content does not infringe upon any third-party rights or violate applicable law. You retain ownership of your User Content. However, by using the Platform, you grant NeuraReach, LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, and store your content solely for the purpose of providing and improving the Services. 9. Generated Content (AI Outputs) The Platform generates synthetic or AI-assisted outputs (“Generated Content”) based on User Content. Subject to compliance with these Terms and payment of all applicable fees, you are granted a worldwide, perpetual, non-exclusive, commercial license to use, reproduce, display, distribute, and modify such Generated Content. You acknowledge that: * Generated Content may not be identical to uploaded inputs and may include variations or imperfections inherent to AI models. * The Company makes no representations or warranties regarding the accuracy, uniqueness, or legal non-infringement of Generated Content. * You are solely responsible for ensuring your use of Generated Content complies with all applicable laws, including advertising and intellectual property laws. 8. Intellectual Property All intellectual property rights in and to LookAtlas, including software, models, algorithms, trademarks, service marks, designs, and other proprietary materials, are and will remain the exclusive property of NeuraReach, LLC. These Terms do not grant you any ownership rights in the Platform or its underlying technology. 9. Privacy Your use of LookAtlas is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to such collection and use as described therein. 10. Termination We reserve the right to suspend or terminate your access to LookAtlas, without notice, if we believe you have violated these Terms or engaged in fraudulent or abusive behavior. Upon termination, your license to use the Platform and Generated Content ceases immediately, except as expressly permitted under Section 7. 11. Disclaimer of Warranties The Platform and Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including, but not limited to, merchantability, fitness for a particular purpose, or non-infringement. NeuraReach, LLC does not guarantee uninterrupted access, error-free operation, or accuracy of the Generated Content. 12. Limitation of Liability To the fullest extent permitted by law, NeuraReach, LLC, its officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from your use or inability to use the Platform. In no event shall our total liability exceed the total fees paid by you to NeuraReach, LLC within the preceding three (3) months of the event giving rise to the claim. 13. Indemnification You agree to indemnify, defend, and hold harmless NeuraReach, LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorneys’ fees) arising from: (a) your use of the Platform or Generated Content; (b) your violation of these Terms; or (c) infringement of any third-party rights through your uploaded or generated content. 14. Modifications to the Service and Terms We may update, suspend, or discontinue any part of LookAtlas at any time, with or without notice. We may also modify these Terms from time to time. Any changes will be posted on our website, and continued use of the Platform constitutes acceptance of the updated Terms. 15. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, USA. 16. Severability If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. 17. Entire Agreement These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NeuraReach, LLC regarding the use of LookAtlas and supersede all prior or contemporaneous agreements, representations, or communications. 18.
